Please read these Terms carefully before using Vectros Automation. They form a binding agreement between you and Vectros and explain your rights and responsibilities — including important points about automated text messaging, AI-generated content, billing, and cancellation.
1. Agreement to these terms
These Terms & Conditions ("Terms") govern your access to and use of the Vectros Automation platform, websites, and related services (collectively, the "Service") operated by Vectros Automation ("Vectros," "we," "us," or "our"). By creating an account, starting a free trial, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. What the Service does
Vectros is an automation tool for home service and similar businesses. When a call to your connected business number goes unanswered, the Service can automatically send a text message (SMS) to the caller, hold an AI-assisted text conversation to qualify the lead, propose available times, and book appointments into your connected calendar. Depending on your plan it may also send appointment reminders, follow up with leads that go quiet, send review requests after completed jobs, flag potential emergencies, and surface conversations for you to follow up on personally.
The Service relies on third-party providers — including telephony/SMS, calendar, payment, and artificial-intelligence providers — to function. Your use of those features is also subject to the relevant third party's terms.
3. Eligibility and accounts
- You must be at least 18 years old and authorized to enter into these Terms on behalf of your business.
- You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential.
- You are responsible for all activity that occurs under your account.
- You must notify us promptly of any unauthorized use of your account.
4. Free trial, subscriptions, and billing
Paid plans are offered on a subscription basis and include a 14-day free trial. A valid payment method is required to start the trial. We will not charge you during the trial period; unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged the then-current plan price.
- Subscriptions renew automatically each billing cycle until cancelled.
- Payments are processed by our third-party payment processor; we do not store full card details on our servers.
- Prices and plan features may change; we will give reasonable notice of material changes, and changes will apply from your next billing cycle.
- Applicable taxes may be added to your charges.
5. Cancellation and refunds
You may cancel your subscription at any time from the billing area of your portal or by contacting support. Cancellation takes effect at the end of your current billing period, and you will retain access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features.
6. Account deletion
You may delete your account from the portal. Deleting your account cancels any active subscription, disconnects your integrations, and removes your business configuration from the active Service. Some records may be retained for a limited period where required for legal, accounting, fraud-prevention, or backup purposes, as described in our Privacy Policy.
7. Your responsibilities for messaging and consent
You are the sender of the messages the Service transmits on your behalf, and you are solely responsible for ensuring your messaging is lawful. This is important: text-message marketing and automated messaging are regulated.
- You must have a lawful basis and any required consent to text the individuals who contact your business, in line with applicable laws and carrier rules (for example, the U.S. Telephone Consumer Protection Act and A2P 10DLC requirements).
- You must honor opt-out requests (such as "STOP") and not message individuals who have opted out.
- You must not use the Service to send unlawful, harassing, deceptive, or unsolicited bulk messages, or content that violates any third party's rights.
- You are responsible for the accuracy of your business information, services, pricing, and availability that the AI relies on.
You agree to indemnify Vectros for claims arising from your messaging or your failure to obtain required consents.
8. AI-assisted communication disclaimer
The Service uses artificial intelligence to generate message content and to interpret conversations. AI can make mistakes, misread intent, or produce inaccurate or inappropriate output. You acknowledge that AI-generated responses are provided on a best-effort basis, are not guaranteed to be accurate or suitable, and do not constitute professional advice. You are responsible for reviewing outcomes (including bookings) and for any commitments made to your customers. Do not rely on the Service for emergencies; emergency-detection features are a convenience, not a guaranteed safety system.
9. Acceptable use
- Do not use the Service for any unlawful purpose or in violation of these Terms.
- Do not attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Do not interfere with or disrupt the integrity or performance of the Service.
- Do not reverse engineer, resell, or sublicense the Service except as expressly permitted.
- Do not use the Service to store or transmit malicious code or to infringe intellectual-property rights.
10. Third-party services and integrations
The Service integrates with third-party services you choose to connect, such as your calendar and payment provider. We are not responsible for third-party services, their availability, or their actions. When you connect an integration, you authorize us to access and use the relevant data solely to provide the Service, subject to our Privacy Policy and the third party's terms.
11. Intellectual property
The Service, including its software, design, and content (excluding your data), is owned by Vectros and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of your business data and content you provide; you grant us the rights needed to process it to provide and improve the Service.
12. Service availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or reasons beyond our control. Specific availability commitments, if any, apply only where expressly stated in a written agreement (for example, an Enterprise plan).
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, recover any specific amount of revenue, or produce any particular result.
14. Limitation of liability
To the maximum extent permitted by law, Vectros will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Vectros and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content or messaging, your violation of these Terms, or your violation of any law or third-party right.
16. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or in-app notice). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Termination
We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination (such as payment obligations, disclaimers, limitations of liability, and indemnification) will survive.
18. Governing law
These Terms are governed by the laws of the jurisdiction in which Vectros Automation is established, without regard to conflict-of-laws rules. Any disputes will be subject to the courts of that jurisdiction, unless otherwise required by applicable law.
